Terms of service

1. GENERAL TERMS

  1. You are hereby granted a non-exclusive, limited, non-transferable, freely revocable license to use Verwaldo's services for your business purposes.
  2. Verwaldo offers its service with recurring payments.
  3. Verwaldo constantly changing and improving the services and may add, modify or remove functionality from a service at any time without prior notice.

2. REQUIREMENTS FOR USERS

  1. When creating your account, you must provide accurate and complete information as requested, including personal information such as your name and contact information. If changes occure, you must provide us with this information without being asked.
  2. Verwaldo's services are designed in such a way that they can be used by modern web browsers with latest updates installed. To be able to use all functions of the app, a stable, upright high-speed internet connection is required.
  3. You are responsible for protecting your password and any other login information used to access your Verwaldo account. Verwaldo is not responsible for activities after registration in your account. Should you notice any unauthorized access to your account, please notify us immediately.
  4. Accounts may not be shared and only used by authorized and qualified employees.
  5. If for your country in which you use Verwaldo or a country for which you’re creating an invoice, a possibly legally required component is missing, or a template from Verwaldo didn’t include it, the user must add those additional fields by itself, if necessary!
  6. The user is responsible for the correctness of the documents created in Verwaldo, in particular the above mentioned example in point e based on an invoice.
  7. Verwaldo assumes no liability for legally required components within a document.

3. PAYMENTS | INVOICE

  1. The amount of the payment depends on the subscription plan you’ve chosen.
  2. Each pricing model has an 8-day free trial period. The subscription period will begin after trial, which is then billed monthly or annually, depending on the plan.
  3. Payments at Verwaldo are processed by a third-party payment portal called Stripe (https: www.stripe.com), which is authorized to make credit card and PayPal payments. The service is storing your card and PayPal data in order to make recurring payments.
  4. If you got an invoice by email, payment is going to be executed within 30 days. Verwaldo is entitled to terminate this agreement or block your account if payment is not carried out on time.
  5. Verwaldo may change fees charged for the specified subscription models at any time, provided that, for pricing models billed on a subscription basis, the change will become effective only at the end of the current billing cycle of your subscription. Verwaldo will inform you in a good timely manner in writing of any change in fees in order to give you the opportunity to cancel your subscription before the change takes effective.
  6. If you cancel a subscription within a billing cycle for no reason, there will be no refund. Unless you cancel for one of the following reasons: - there has been a significant breach of these terms of service and this breach has not been corrected within a proper and possible time by us, after you’ve notified us. - a refund is required by law.
  7. Invoices from Verwaldo include the notation: VAT exempt according to §6 [1] Z 27 UStG (Austrian Value Added Tax Act).

4. OTHER TERMS

  1. Verwaldo is based on APIs provided by third-party services. This can lead to undesirable events in relation to these program interfaces for which Verwaldo is not responsible. In such cases, Verwaldo is not liable for any disruption to a service.
  2. All disputes or claims arising from or in connection with the terms of service shall be governed by Austrian law. The commercial court of Melk will have exclusive jurisdiction.
  3. If any provision of these terms of service is found to be illegal, invalid, or unenforceable by any court, the remaining provisions will remain in full force and effect.
  4. Verwaldo may update or change the terms of service from time to time. If Verwaldo changes these terms of service significantly, the effective date will be updated at the end of these terms of service. Your continued use of the service after such a change constitutes your acceptance of the new terms of service.
  5. The services of Verwaldo may be discontinued at any time with prior notice. In such a case, Verwaldo will inform its customers, allowing, among other things, the export of existing documents. Active subscriptions extending beyond the discontinuation date will be prorated, and any credits will be refunded.

5. USE AND STORAGE OF CUSTOMER DATA

  1. Verwaldo attaches great importance of your personal and stored data which are required for the use of the application and will explicitly "never" share them with any third parties.
  2. Verwaldo is 100% free of advertising and not financed by third parties with outside funds, so it is our responsibility to guarantee data sovereignty and to continuously improve it.
  3. Furthermore, Verwaldo has no partners to share customer data.
  4. However, the customer grants Verwaldo a worldwide, non-exclusive, royalty-free right to use, save, transfer, distribute, create and change customer data in order to make the product available to the customer and to otherwise operate, improve and maintain the product. This includes the distribution of invoices and offers with customer data by Verwaldo to the end customers named by the customer via the service. Verwaldo may only use, disclose and store customer data that has been collected for you from end customers in order to provide the respective service to the customer, to meet the legal requirements and to exercise his rights under this agreement and applicable law.
  5. Verwaldo doesn’t offer an archiving service, but points out that no customer data is deleted unintentionally and before a subscription is terminated or expired.
  6. We expressly reject all other storage obligations, insofar as this is permitted under applicable law.
  7. Generated PDF’s for sending offers or invoices to end customers are only temporarily generated for the purpose of sending by email and then get deleted automatically and therefore won’t get archived.
  8. As a user, you are solely responsible for creating backups of customer data and documents (e.g. offers, invoices) on your own systems.

6. END OF SUBSCRIPTION

  1. Once a subscription has been terminated, the services for Verwaldo are temporarily no longer available.
  2. If you’re going to delete your account, all documents and data relating to your user will be deleted and cannot be restored after this action.

7. DISCLAIMER

  1. Verwaldo's services are provided "as is" and "as available", with all errors and without warranties, representations or conditions of any kind.
  2. The use of the services provided by Verwaldo is entirely at your own risk.
  3. Verwaldo making no representations, warranties or conditions with regard to the quality, accuracy, security, reliability or completeness of the services.
  4. Verwaldo assumes no responsibility for incompleteness, security, viruses, errors, problems, inaccuracies or other restrictions or interruptions in the operation of the services.
  5. Verwaldo further points out that this product is not intended to offer professional accounting, tax or other advice.
